Kelli Provenzano Cain

Kelli Provenzano Cain obtained her Bachelor of Arts, magna cum laude, from Boston College in 2003 and her Juris Doctor, magna cum laude, from Syracuse University College of Law in 2006.  During her time at the College of Law, Ms. Provenzano Cain was an Associate Editor of Syracuse Law Review, the Business Editor of The Digest (the journal of the National Italian American Bar Association) and a member of the Justinian Honorary Society and Order of the Coif.  She was also an orientation leader for first year law students. 

Today, Ms. Provenzano Cain is an Associate in the Corporate Department of Proskauer Rose LLP, resident in the Washington, D.C. office.  She focuses her practice on corporate, securities and other transactional matters, and has experience in a wide variety of capital-raising transactions. She has assisted in and closed a number of initial and secondary public and private offerings, having represented both issuers and underwriters. Ms. Provenzano Cain has represented numerous companies in corporate reorganizations, mergers and acquisitions, and general corporate and securities compliance matters. Her practice has involved working with a number of clients on disclosure and other requirements under the federal securities laws, including compliance with periodic reporting requirements under the Securities Exchange Act of 1934, as well as providing counsel regarding stock exchange listing requirements, corporate governance matters and stockholder relations issues.  Prior to joining Proskauer Rose, Ms. Provenzano Cain was a corporate associate with Kilpatrick Townsend & Stockton LLP, focusing her practice on general corporate and securities matters. She has worked on many transactions in the financial services industry and has significant knowledge of the regulatory aspects of such transactions.

Ms. Provenzano Cain resides in Alexandria, Virginia with her husband, Andrew Cain, who also graduated from the College of Law in 2006, and their dog, Bailey.  Ms. Provenzano Cain was a season ticket holder for the Syracuse Orange football, basketball and lacrosse teams while in law school and remains an avid fan to this day.
